Welcome to CodeFiCS https://codefics.com/ (the “Website”) which is owned and operated by CodeFiCS Inc. (“CodeFiCS”/“we”/”us”).  If you visit or buy our products through the Website, including but not limited to any subscription orders for our hotswapping software tool (the “Software”, together with our Website, the “Services”) you are accepting these Terms of Service which govern your use of the Website so please read them carefully.

 

Please note that these Terms of Service may be amended or updated by us from time to time and the Terms of Service may therefore have changed since your last visit to this site.  It is your responsibility to review these Terms of Service for any changes.  Your use of the site and our services after any amendments or updates to these Terms of Service shall signify your acceptance of such revised terms.  You should visit this page periodically to review these Terms of Service.

Please review our Privacy Policy, which also governs your visit to our site to understand our practices concerning the collection and use of information.

PURCHASE TERMS     

 

  1. Prices and Fees

 

Your access to and continued use of the Software is subject to Your payment of the subscription fees as ("Fees") set out on the Website and all other applicable amounts, charges and taxes indicated to You when You purchase your Software subscription (or otherwise notified to You by CodeFiCS from time to time) when you use the Software or noted on your invoice and viewable in your Owner Account (as defined below). Unless otherwise stated on the invoice, all invoiced amounts are due upon receipt and processed immediately using the credit card on file for You. Receipts for Software subscriptions will be delivered to You electronically. You shall: (i) keep the billing, credit card and payment information You provide to CodeFiCS or its suppliers or payment processors, including name, credit card number and expiry date, mailing address, email address and telephone number, accurate and up to date; otherwise, we may suspend your access to the Software; (ii) promptly advise CodeFiCS if your credit card information changes due to loss, theft, cancellation or otherwise; (iii) be liable for your failure to pay any Fees billed to You by CodeFiCS caused by your failure to provide CodeFiCS with up to date billing information. To offset its additional processing costs, CodeFiCS may charge You for administrative charges as set from time to time for administrative or Account activities including: collection efforts due to non-payment or having a balance over your credit limit; returned or rejected payments; or changes in personal identifier information. All administrative charges charged to You will be indicated to You on your invoice or receipt and You shall pay all such charges. Unless otherwise stated, all fees are quoted and payable in Canadian Dollars. If your payment method fails or your Owner Account is past due, we may collect fees owed using other collection mechanisms. 

 

You may subscribe for our services and Software on either a monthly or annual subscription term, in accordance with our pricing reflected on our Website, through your Owner Account. All prices on this Website are subject to change upon 30 day’s prior notice by email. Any changes in pricing that may occur before, during or after a purchase are not the responsibility of CodeFiCS. Any pricing adjustments to the Fees you are charged will be reflected on your next billing date following the date the proposed pricing change is to take effect.

 

  1. Taxes

Tax charges are based on applicable federal, provincial and harmonized sales tax rates based on the delivery address associated with your order. Where required, sales tax will also be applied to the shipping and handling charges. If You are making a purchase for a tax-exempt organization or are an individual that qualifies for a tax exemption, please contact our Customer Service team to ensure compliance with federal and provincial tax laws, all requested forms and information must be received and verified by our Customer Service team before a tax refund can be processed.

  1. Refunds    

 

All monthly subscription purchases made through the Website are final sale. CodeFiCS does not offer any refunds for monthly subscription Fees. Notwithstanding the foregoing, annual subscribers shall be eligible for thirty (30) day money back guarantee in the event that You are dissatisfied with our Software.

 

  1. Delivery    

 

All services and/or Software purchased from CodeFiCS shall be made available through the Website after purchase. 

WEBSITE AND ACCOUNT TERMS

 

  1. Accounts    

 

Access to our Software requires that You register for an owner account on the CodeFiCS Website (each, an “Owner Account”). Depending on the nature and specifics of your subscription, authorized representatives of an Owner Account will have control over the assignment of such number of purchased user licenses to their Users. Each User assigned a license by You will be provided with their own unique User account (each, a “User Account” and collectively, together with Owner Accounts, an “Account”) subject to the terms hereof. You, as the owner, are solely responsible for maintaining the confidentiality of your password and Owner Account information, as well as ensuring your Users’ compliance with the same. You must notify us immediately in the event of any known or suspected unauthorized use of your Owner Account (or any assigned User Account), or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your or anyone else's password. You are solely responsible for any and all activities which occur under your Owner Account, or any User Account. You agree to immediately notify us of any unauthorized use of your Owner Account, any User account, or any other breach of security known to You. For the purposes of these Terms, “User” shall means an individual or entity who is authorized by You to use the Software, and who has been supplied a User account and password by You (or by us at your request) for access to the Software. User accounts are for use by designated Users only and cannot be shared or used by more than one User, provided that User Account licenses may be revoked and/or reassigned to new Users through the authorized Owner Account for the purposes of replacing former Users who no longer require ongoing use of the Software.

 

We may cancel or suspend at any time your Account and password at our discretion without notice or liability to You or any other person. We are not under any obligation to verify the actual identity or authority of any person using the Owner Account and password, or any other User accounts to access and use the Services. We may at any time require proof of the identity of any person seeking to access and use the Services, and may deny access if we are not satisfied with such proof.

 

  1. Account Data    

 

All information You provide through the Website, including registration information (name and email address), payment information (credit card numbers and expiration dates), and transaction-related information, must be true, accurate, current and complete. We will rely on the information You provide. You will be solely responsible and liable for any and all loss, damage, and additional costs that You, us or any other person may incur as a result of your submission of any false, incorrect or incomplete information or your failure to update your registration information and payment information. Collection of any “Personal Information” by CodeFiCS is governed by our Privacy Policy.

 

  1. CodeFiCS Intellectual Property  

 

All content included on this Website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and Software, are the property of CodeFiCS or its content suppliers and is protected by Canadian and international copyright laws.  All Software used on this Website is the property of the CodeFiCS or its software suppliers and protected by Canadian and international copyright and authors' rights laws.  All CodeFiCS product names and logos are trademarks of CodeFiCS. All other company and product names and logos are trademarks or registered trademarks of their respective owners in certain countries.  Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use this Website or any materials displayed on this Website, through the use of framing or otherwise, except: (a) as expressly permitted by these terms and conditions; or (b) with our prior written permission.  You shall not attempt to override or circumvent any of the usage rules or restrictions on the Website.

 

If You provide CodeFiCS with any suggestions, comments or other feedback ("Feedback") relating to the Services, CodeFiCS may use such Feedback in any of CodeFiCS products or Services (collectively, “CodeFiCS Offerings”). Accordingly, You agree that: (a) CodeFiCS is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to CodeFiCS, (c) CodeFiCS (including all of its successors and assigns and any successors and assigns of any of the CodeFiCS Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any CodeFiCS Offerings, and (d) You are not entitled to receive any compensation or re-imbursement of any kind from CodeFiCS or any of the other users of the Services.

 

  1. Website License.

 

CodeFiCS grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Website for your own use. Your right to use the Website is limited by all terms and conditions set forth in these Terms of Service.  

 

  1. Trial License.  

 

You may use our Software on a trial, evaluation basis for the period of time indicated at the time of selecting your subscription plan on our Website. For greater certainty, trials are at the discretion of CodeFICS and CodeFICS reserves the right to cancel or terminate a trial immediately at any time on provision of written notice to You.  Should you wish to access our Software on a free trial basis, you may need to create an Account, upon which CodeFICS grants to You and You hereby accept a non-exclusive, non-transferable, royalty-free, license, during the trial evaluation period, to use the Software for evaluation purposes only, subject to these Terms of Service. CodeFICS shall provide to You without charge, reasonable email support requested by You for the trial evaluation period in connection with the use and operation of the Software. 

 

  1. Software License. 

 

Subject to your continued payment of all applicable subscription Fees, CodeFICS hereby grants to You a single non-exclusive, non-transferable internal license per subscription to use, download and access the Software, provided that You may assign additional purchased licenses to specified User Accounts. On creation of your Owner Account, you will be able to create and/or assign User Accounts to specified Users at any time during the term of your subscription, subject to any limiting number of licenses you’ve purchased. All licenses granted hereunder are only shareable to the extent that you’ve purchased additional licenses for your Users and are otherwise limited to one person (User or owner) per Account. 

  1. Website Changes  

 

We may alter, suspend, or discontinue the Services at any time and for any reason or no reason, without notice. The Services may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons.  We may periodically add or update the information and products, including but not limited to the Software available on this Website without notice.  

 

  1. Advertising and Links to Third-Party Websites  

 

You acknowledge and agree that the Website may be provided with advertisements.  If You elect to have any business dealings with anyone whose products or services may be advertised on the Website, You acknowledge and agree that such dealings are solely between You and such advertiser and You further acknowledge and agree that CodeFiCS shall not have any responsibility or liability for any losses or damages that You may incur as a result of any such dealings.  

 

This Website may contain links to other websites that are not owned or controlled by CodeFiCS.  CodeFiCS is not responsible for the content of any linked websites.  Any third-party websites or services accessed from the Website are subject to the terms and conditions of those websites and or services and You are responsible for determining those terms and conditions and complying with them.  The presence on the Website of a link to any non-CodeFiCS websites does not imply that CodeFiCS endorses or accepts any responsibility for the content or use of such websites, and You hereby release CodeFiCs from all liability and/damages that may arise from your use of such websites or receipt of services from any such websites.

You shall be responsible for obtaining access to the Website and acknowledge that such access may involve third-party fees (such as Internet service provider access or data fees).  You shall be solely responsible for any such fees and also for obtaining any equipment that is required to access the Website and/or run the Software provided therein.  It is your responsibility to ascertain whether any information or materials downloaded from this Website are free of viruses, worms, Trojan Horses, or other items of a potentially destructive nature.

  1. Term and Termination 

 

The term of your subscription shall begin following the successful payment of Fees and activation of your Account and will continue in accordance with your selected subscription term unless terminated earlier in accordance with the provisions hereof. Upon expiry of your initial subscription term, whether monthly or annually, your subscription shall be automatically renewed (each, a "Renewal Term") on the same terms and conditions as previously provided (subject to any pricing changes made in accordance with these Terms of Service) unless You notify us of your intention to cancel your subscription either in writing at support@codefics.com or through your Account prior to the start of any Renewal Term. 

 

 

CodeFiCS may, under certain circumstances and without prior notice, immediately terminate your ability to access the Website or portions thereof. Cause for such termination shall include, but not be limited to breaches or violations of these Terms of Service, discontinuance or material modification to the Website (or any part thereof), unexpected technical, security or legal issues or problems. 

 

You acknowledge and agree that all terminations may be made by CodeFiCS in its sole discretion and that CodeFiCS shall not be liable to You or any third-party for any termination of Your access to this Website or for the removal of any of the materials uploaded by You to the Website.  Any termination of these Terms of Service by CodeFiCS shall be in addition to any and all other rights and remedies that CodeFiCS may have.

In the event that You would like to terminate your 

 

  1. Enforcement of Terms and Conditions

 

If any part of these Terms of Service is unlawful, void, or unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.  The failure of CodeFiCS to exercise or enforce any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.  Any waiver of any right or provision by CodeFiCS must be in writing and shall only apply to the specific instance identified in such writing.  No waiver by CodeFiCS of any provision of these Terms of Service shall be deemed to be a further or continuing waiver of such provision or any other provision.  You agree that any cause of action that You may have arising out of or related to this Website or Your use of this Website must commence within one (1) year after the cause of action accrues, otherwise such cause of action shall be permanently barred.

 

  1. Applicable Law

The laws of the Province of Nova Scotia, and the federal laws of Canada will govern these Terms of Service without giving any effect to any principles of conflict of law.

  1. Export Restrictions 

The Website, materials and related information may be subject to export and import restrictions. By using the Website or downloading the Software, You represent and warrant that You are not located in, under the control of, nor is a national or resident of, any country to which the export of the Software or related information would be prohibited by the laws and/or regulations of Canada and/or the United States. You shall comply with the export laws and regulations of the United States and Canada that are applicable to the Software and related information and You shall comply with any local laws in your jurisdiction that may impact your right to export, import, or use the Software or related information, and You represent and warrant that You have complied with any such applicable laws or regulations. The Software shall not be used for any purposes prohibited by export laws, including, without limitation, nuclear, chemical, or biological weapons proliferation. You shall be responsible for procuring all required permissions for any subsequent export, import, or use of the Software or related information.

  1. Relationship Of The Parties 

The parties are independent contractors.  This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties.

  1. Assignment 

You may not assign this these Terms. CodeFiCS may assign these Terms of Service at any time and for any reason.

  1. No Third-Party Beneficiaries

There are no third-party beneficiaries to these Term of Use.

  1. Language

The Parties acknowledge that they have expressly required that this agreement and all related documents be drafted in the English language. Les parties reconnaissent avoir expressément exigé que le présent convention et tous les documents connexes soient rédigés en langue anglaise.
